Terms of Use

1. Parties

These Terms of Use (“Terms”) constitute a legally binding agreement between you (“User,” “you,” or “your”) and Trizan Business Solutions Inc., a company doing business as Wurky (“Trizan,” “Wurky,” “we,” “us,” or “our”), governing your access to and use of the Wurky platform located at wurky.app (the “Platform”).

2. Eligibility

You must be at least 16 years of age to use the Platform. By using Wurky, you represent and warrant that:

• You are at least 16 years of age
• You have the legal capacity to enter into a binding agreement
• Your use of the Platform does not violate any applicable law or regulation
• If you are registering on behalf of a company or organization, you have the authority to bind that entity to these Terms

3. Accounts and Registration

To access most features of the Platform, you must create an account. You agree to:

• Provide accurate, current, and complete registration information
• Maintain the security of your account credentials
• Promptly update your information if it changes
• Notify us immediately of any unauthorized access to your account at [email protected]
• Accept responsibility for all activity that occurs under your account

We reserve the right to suspend or terminate accounts that violate these Terms or that we determine, in our sole discretion, present a risk to the Platform or other users.

4. Permitted Use

Wurky is intended for lawful HR, recruitment, and workforce management purposes. You may use the Platform to:

• Post and manage job listings (Employers)
• Apply for jobs and manage your employment profile (Job Seekers & Employees)
• Manage HR records, onboarding, payroll, benefits, performance, and time tracking
• Communicate with colleagues, applicants, or HR personnel through the Platform
• Upload documents relevant to employment

5. Prohibited Conduct

You agree not to:

• Use the Platform for any unlawful purpose or in violation of any local, state, national, or international law
• Post false, misleading, fraudulent, or defamatory content
• Discriminate against applicants or employees based on race, color, religion, sex, national origin, age, disability, or any other protected characteristic
• Upload malware, viruses, or any code designed to disrupt, damage, or gain unauthorized access to any system
• Attempt to reverse-engineer, decompile, or extract source code from the Platform
• Circumvent, disable, or interfere with Platform security features
• Scrape, harvest, or collect data from the Platform without our written consent
• Impersonate any person or entity or misrepresent your affiliation
• Use the Platform to send unsolicited communications (spam)
• Engage in any conduct that restricts or inhibits any other user’s use or enjoyment of the Platform
• Attempt to overwhelm Platform infrastructure through denial-of-service attacks or similar

6. Employer Responsibilities

If you use Wurky as an employer or HR administrator, you additionally agree to:

• Comply with all applicable employment, labor, and data protection laws
• Obtain necessary consents from employees before entering their personal data into the Platform
• Use the Platform only for legitimate employment and HR purposes
• Maintain the confidentiality of employee data accessible through your account
• Post only genuine job listings for real positions
• Handle applicant data in accordance with applicable privacy laws

7. Content and Data Ownership

7.1 Your Content

You retain ownership of content you upload to the Platform (“Your Content”), including resumes, documents, messages, and profile information. By uploading content, you grant Trizan a limited, non-exclusive, royalty-free license to store, display, and transmit Your Content solely as necessary to provide the Platform’s services.

7.2 Platform Content

All Platform software, design, trademarks, logos, and other intellectual property not constituting Your Content are owned by Trizan Business Solutions Inc. and are protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works from Platform content without our written permission.

7.3 Feedback

If you submit ideas, suggestions, bug reports, or feedback about the Platform, you grant Trizan an irrevocable, perpetual, worldwide, royalty-free license to use that feedback for any purpose, including improving the Platform, without any obligation to compensate you.

8. Privacy

Your use of the Platform is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Platform, you agree to the collection and use of information as described in the Privacy Policy.

9. Third-Party Services

The Platform may contain links to third-party websites or services. These links are provided for convenience only. Trizan does not endorse and is not responsible for the content, privacy practices, or availability of any third-party services. Your use of third-party services is at your own risk and subject to those parties’ own terms.

10. Beta Platform — Special Terms

During the public beta period:

• The Platform is provided “as-is” without warranties of any kind
• Features may be introduced, modified, or removed at any time without notice
• Data may be reset or deleted as part of testing or infrastructure updates; we will attempt to provide advance notice but cannot guarantee it
• Uptime and performance guarantees (SLAs) do not apply during the beta period
• You are encouraged to maintain your own backups of any data entered during beta
• Reporting bugs or issues is appreciated and can be done via the in-platform bug report form

11. Service Availability and Modifications

We strive to maintain Platform availability but do not guarantee uninterrupted access. We reserve the right to:

• Modify, suspend, or discontinue any part of the Platform at any time
• Perform maintenance that may result in temporary unavailability
• Update these Terms, the Privacy Policy, or Platform features with notice to users

You agree to indemnify, defend, and hold harmless Trizan Business Solutions Inc. and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising from: (a) your use of the Platform in violation of these Terms; (b) Your Content; (c) your violation of any third-party rights; or (d) your violation of any applicable law.

15. Termination

Either party may terminate the relationship at any time:

• By you: You may stop using the Platform and request deletion of your account at any time by contacting [email protected]
• By Trizan: We may suspend or terminate your access immediately if you violate these Terms, if required by law, or for any other reason at our discretion with reasonable notice where practicable

Upon termination, your right to use the Platform ceases immediately. Sections that by their nature should survive termination (including ownership, disclaimers, indemnification, and liability limitations) will survive.

16. Governing Law and Disputes

These Terms are governed by the laws applicable to Trizan Business Solutions Inc.’s jurisdiction of operation, without regard to conflict-of-law principles. Any dispute arising from or relating to these Terms or your use of the Platform shall be resolved through good-faith negotiation in the first instance. If unresolved, disputes shall be subject to binding arbitration or the courts of competent jurisdiction, as applicable.

17. Changes to These Terms

We may update these Terms from time to time. We will notify users of material changes by updating the “Last Updated” date and, for significant changes, by providing prominent notice through the Platform. Your continued use of the Platform after any changes constitutes your acceptance of the revised Terms.

18. Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and Trizan Business Solutions Inc. regarding your use of the Wurky Platform and supersede all prior agreements and understandings.
